When using Jacob Tuition's website or reading any materials and documents produced by Jacob Tuition, the term 'we', 'us' or 'Jacob Tuition' makes reference to the owner of Jacob Tuition. The term 'you' refers to the user or person visiting the Jacob Tuition website. 

Introduction

By accessing and using our website, you agree to be bound by these terms. Should you not agree to these terms, please refrain from using the website. 

The intellectual property rights and the information and materials published or posted on the Jacob Tuition website are fully owned by us, unless otherwise stated. All rights reserved. 

The subsequent terms dictate the use of this website:

  • Jacob Tuition does not guarantee the accuracy of the content on this website. Neither does Jacob Tuition provide any warranty regarding the suitability of any content displayed on this website, or any documentation provided by Jacob Tuition. The user of this website is fully aware that the information provided by Jacob Tuition may be inconsistent, in addition Jacob Tuition openly exclude liability for any mistakes to the fullest extent permitted. ​

  • It is the website users responsibility to ensure that anything available (including information, products and services) via the Jacob Tuition website is suitable for your requirements. Jacob Tuition accepts no responsibility should what is offered not meet expectations.

Tutors and Clients

Jacob Tuition reserves the right to change its terms and conditions however they wish, such changes will be made known to clients and tutors in writing however will take immediate effect. 

These terms and conditions form the final agreement regarding Jacob Tuition, clients and tutors involved. Therefore no other terms and conditions can be proposed, used or agreed to by any party without the written permission of Jacob Tuition. Jacob Tuition must also agree in writing to any alterations to these terms and conditions for such changes to to be valid. 

By agreeing to use or engage in our services, clients and tutors are automatically showing they agree to these terms and conditions. 

Clients

Jacob Tuition will match a tutor to the client, acting as an agent on his or her behalf. 

Fees and Payment

Tutors are never paid directly from the client, Jacob Tuition controls and directs the payment of all tutors. To facilitate this, the client will receive an invoice on the day of each lesson held. Clients must then ensure that Jacob Tuition receives payment within ten days of the date on each invoice. This is made via our online payment management system (Credit Card Auto Payment or Direct Debit unless the client wishes to pay in advance for all lessons. Jacob Tuition reserves the right to to charge the interest rate of 8% above the Barclays Bank rate of interest for all unpaid invoices from the due date to the date of payment. 

Prior to tuition taking place, the client will agree to the tuition fee. The tutor will submit an electronic timesheet and short lesson report for each tuition session held. This will detail the work carried out with the tutee. 

 

Jacob Tuition reserves the right to ask for the clients debit or credit card details. Such details will be held securely and may be charged in the event of a late or missing payment. As a result, Jacob Tuition reserves the right to take payment for invoices from any payment card we hold from the client. Any such credit or debit card details provided will never be passed onto any third party. 

Additional expenses

Before the tuition takes place, the client must agree to any additional extra expenses with the tutor. These may include textbooks or travel expenses. 

Non-solicitation

The client must not make private arrangements for tuition with a tutor introduced by Jacob Tuition.  Should a client breach this obligation whereby the the client makes and the tutor accepts a direct engagement with the client, the client is then liable and must pay an exception fee of 40% of the anticipated annual earnings agreed by the client and tutor or £4,250, whichever amount is larger.

In respect to this, the client must immediately notify Jacob Tuition about the acceptance of any offered arrangements of direct employment made to the tutor, giving details of the Tutors remuneration to allow the calculation of the exception fee. Jacob Tuition will be entitled to obtain an injunction against a client in order to prevent subsequent breaches. This obligation will continue notwithstanding termination of this agreement. 

Liability

Jacob Tuition accepts no liability for any claims made by the client as a result of or relating to the tuition carried out by a tutor introduced by Jacob Tuition.  

General

Jacob Tuition reserves the right to change these terms and conditions. 

Unless written permission is granted by a director or Jacob Tuition, these terms and conditions take priority over any other terms and conditions for business stated by the client. 

No changes or adjustments to these terms and conditions will be valid unless written approval is granted by a director of Jacob Tuition. 

Acceptance

Accepting to use our services will serve as your agreement to these terms and conditions. 

Tutors

Being self employed, all tutors are responsible for paying their own taxes. 

The arrangements below are agreed and understood by both tutors and clients:

General

Upon agreement and acceptance of a tutoring position, you are starting a contract between you (the tutor) and the client (the student, or the student's parent/guardian). Jacob Tuition will act as an agent on behalf of the client and tutor. 

Jacob Tuition is responsible for finding a tutor for the client at an appropriate level and subject and is not responsible for the content of the lessons and teaching methodology used. 

Private arrangements

Considering Jacob Tuition provides you (the tutor) with clients, you must not in any circumstance make private arrangements with clients introduced by Jacob Tuition or with new clients introduced by Jacob Tuition clients. Should you breach this obligation whereby you (the tutor) makes a direct engagement with the client or with new clients introduced by Jacob Tuition clients, the tutor is then liable and must pay an exception fee of 40% of the anticipated annual earnings agreed by the client and tutor or £4,250, whichever amount is larger.

In respect to this, the tutor must immediately notify Jacob Tuition about the acceptance of any offered arrangements of direct employment made to the client, giving details of the Tutors remuneration to allow the calculation of the exception fee. Any tuition referred to a tutor by a client of Jacob Tuition must be invoiced through Jacob Tuition on your behalf. Jacob Tuition is willing to negotiate on commission for new clients that have been referred to you by our clients, however with no exception Jacob Tuition must process the invoicing and payment. 

Environment

The tutor and client are both responsible for finding a suitable environment for carrying out the agreed tuition. 

Payment

Jacob Tuition will decide the payment schedule with the client, this must not be changed or amended without written permission by a director of Jacob Tuition. 

 

Jacob Tuition services will involve obtaining fees due from clients, then forwarding them onto you (the tutor) net of a commission. Jacob Tuition invoices clients on the tutors behalf based on the arrangements of the client. Payments will only be made to the tutor once the client pays their invoices. The tutor must ensure that they complete their electronic timesheet and lesson report immediately after each lesson in order to record it as complete in the system. If time sheets are late, incorrect or incomplete then this may cause a delay in payment to the tutor. 

It is the tutors responsibility to keep the time sheet up to date. Jacob Tuition recommends all tutors keep a signed (or electronically signed/acknowledged) log of all lessons completed (or cancelled late with less than 24 hours notice) in addition to the expenses agreed by the client (with the client's signature after each lesson). Jacob Tuition does not typically request to see this record, however should a client dispute the hours being invoiced, then we are unlikely to pay tutors without seeing this signed record. 

Tutors will not be paid directly by the client. Jacob Tuition will invoice the client on behalf of and as an agent to you (the tutor) upon agreement of the tuition arrangements. You will not be entitled to receive payment from Jacob Tuition until the client has paid their invoice to us. Should the client not make payment in a reasonable time, tutors may obtain written permission from a director of Jacob Tuition to invoice the client directly. 

You (the tutor) must not accept any direct payments from the client, unless specifically granted permission by a director at Jacob Tuition. Should you do so without permission, all sums received must be immediately payable to Jacob Tuition and shall be actioned via the courts with no further notice to yourself. 

You (the tutor) undertakes to Jacob Tuition that you will duly pay all tax and national insurance contributions that you are liable for whether in the United Kingdom or somewhere else in relation to the payments made to you by Jacob Tuition under this agreement and further agree to indemnify Jacob Tuition in respect of all and any income tax and national insurance contributions which may be found due from Jacob Tuition on any payments made to you under this agreement together with any interest, penalties or gross-up thereon. 

For record keeping purposes, you will account for the total fees due from the student as income and the commission as expenditure. 

 

Expenses

Jacob tuition does not process any additional expenses between clients and tutors for travel, tuition materials or any other costs that are not initially agreed in the fees quoted to clients by Jacob Tuition. If such expenses occur, these must be dealt between the clients and tutor privately. 

Cancelation Policy

Both clients and tutors must notify each other in advance of any upcoming holiday commitments; in addition to any changes to the lesson schedule due to illness or inconvenience. In this case, an alternative date will be agreed. 24 hours cancellation notice of any session must be given by the client, under which Jacob Tuition charges them if they cancel the lesson. Tutors will receive 100% of the agreed lessons payment if the client cancels within 24 hours, outside which no payment is given. 

Damages

Jacob Tution accepts no liability for any claims made by the client as a result of or relating to the tutoring carried out by you (the tutor) and you agree to indemnify Jacob Tuition without limit in respect of any such claims.  

Confidentiality

You agree that you shall not at any time during this agreement and for five years after termination of the agreement communicate to any person any confidential information relating to the business, affairs, customers, clients, suppliers, plans, intentions, or market opportunities of Jacob Tuition, with the exception that you may disclose Jacob Tuition's confidential information if required by law, court order or any government or regulatory authority.

 

You shall not use Jacob Tuition's confidential information for any other purpose other than to soley carry out your obligations under this agreement.  

Data protection act

Jacob Tuition uses the data held on its tutors for the sole purposes of the services it provides. Tutors providing personal data consent to the use of that data by Jacob Tuition for the purposes of facilitating tutor and client introductions, invoicing and payment collecting purposes and to allow Jacob Tuition to contact the tutor when needed. 

 

Jacob Tuition reserves the right to amend these terms and conditions. Jacob Tuition will notify you in writing of any such changes. 

Unless written permission is granted by a director or Jacob Tuition, these terms and conditions take priority over any other terms and conditions for business put forward by you. 

No changes or adjustments to these terms and conditions will be valid unless written approval is granted by a director of Jacob Tuition. 

Acceptance

Accepting to use our services will serve as your agreement to these terms and conditions.
